1. Acceptance of Terms
By installing, enabling, or using the GitLab AI Agent Coda Pack ("the Service," "the Agent"), you ("User," "you") agree to be legally bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must immediately cease using the Service and revoke the Agent's access to your GitLab account.
These Terms constitute a legally binding agreement between you and Sanmark Solutions (Pvt) Ltd. ("Company," "we," "us," "our"), the developer of the GitLab AI Agent. These Terms apply in addition to any applicable terms imposed by Coda (coda.io/tos) and GitLab (about.gitlab.com/terms).

To use the GitLab AI Agent, you must meet all of the following requirements:
3. Description of Service
The GitLab AI Agent is a Coda Pack integration that acts as a bridge between your Coda workspace and the GitLab API. The core capabilities of the Service include:
- Fetching and displaying Merge Requests, Issues, Commits, and Repository data from your connected GitLab account within Coda.
- Generating AI-powered summaries of merge request diffs, commit histories, and issue discussions.
- Providing code diff explanations and natural language analysis of repository changes.
- Executing write operations on your GitLab account on your behalf when explicitly requested, such as posting comments, creating branches, or updating issue labels.
- Aggregating CI/CD pipeline status and presenting it in a readable format within your Coda documents.
The Service is provided as a developer productivity tool and is not intended to be used as the sole basis for any business decision, code review approval, or security audit.
5. User Responsibilities
You are solely responsible for:
- Maintaining the security of your GitLab and Coda account credentials.
- Ensuring that your use of the Agent complies with GitLab's Terms of Service and all applicable laws and regulations in your jurisdiction.
- Only connecting GitLab accounts and repositories that you are legally authorised to access.
- Reviewing all AI-generated content (summaries, code explanations, responses) for accuracy before relying on or acting upon it.
- Ensuring that any write operations you authorise through the Agent are intentional and appropriate for the target repository.
- Notifying us promptly if you suspect that your OAuth token has been compromised or that the Agent has been used without your authorisation.
6. AI-Initiated Actions & User Responsibility
The GitLab AI Agent can perform write operations on your GitLab account when you explicitly request them. These actions may include, but are not limited to:
- Posting comments on Merge Requests, Issues, or Commits.
- Creating new branches in your repositories.
- Creating or updating files in a repository via the GitLab API.
- Applying labels to or changing the status of Issues and Merge Requests.
You are responsible for all actions the AI takes on your behalf. Because the Agent acts using your OAuth credentials, any action performed by the Agent is legally and operationally equivalent to an action you performed directly. Sanmark Solutions is not liable for any unintended or erroneous write operations resulting from misunderstood prompts, AI errors, or misuse of the Service.
We strongly recommend reviewing any proposed write operation before confirming it, particularly in production repositories. The Agent is designed to request explicit confirmation from the user before performing irreversible actions where technically feasible.
7. Acceptable Use Policy
You agree not to use the Service to:
- Access or interact with GitLab repositories or resources without the authorisation of the owner.
- Extract, scrape, or systematically download large volumes of data from GitLab in a manner that violates GitLab's API rate limits or Terms of Service.
- Violate any applicable law or regulation, including but not limited to data protection laws, intellectual property laws, or export control regulations.
- Attempt to reverse-engineer, decompile, or tamper with the Agent's underlying infrastructure, authentication mechanisms, or LLM integrations.
- Use the Service to generate or distribute harmful, defamatory, or illegal content.
- Circumvent, disable, or otherwise interfere with security features of the Service.
- Attempt to use the Service in a way that could damage, overload, or impair the servers or networks used by the Service.
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your access to the Service and, where warranted, reporting to the relevant authorities.
8. Intellectual Property
The GitLab AI Agent, including its source code, design, branding, and documentation, is the exclusive intellectual property of Sanmark Solutions (Pvt) Ltd. and is protected by copyright, trademark, and other applicable intellectual property laws.
All content generated by the Agent - including AI summaries, diff explanations, and automated responses, is provided to you for your personal use in connection with the Service. You retain ownership of all content that originates from your GitLab repositories. We do not claim any ownership over your source code, issues, merge requests, or any other data we access on your behalf.
9. Disclaimer of Warranties
THE GITLAB AI AGENT IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR CONTINUOUS AVAILABILITY.
We do not warrant that:
- The Service will be uninterrupted, error-free, or completely secure.
- AI-generated summaries, code diff explanations, or any other AI-generated content will be accurate, complete, or fit for any specific purpose.
- The Service will be compatible with all versions of GitLab, Coda, or any other third-party platform.
- Any defects or errors in the Service will be corrected within a specific timeframe.
AI-Generated Content Disclaimer: The Agent leverages Large Language Models, which are probabilistic systems that can and do produce inaccurate, incomplete, or misleading outputs. AI-generated summaries of code diffs, merge request descriptions, and commit histories should be treated as a starting point for review, not as a definitive technical analysis. Never rely solely on an AI summary for critical decisions such as production deployments, security reviews, or compliance checks.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SANMARK SOLUTIONS (PVT) LTD., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to loss of data, loss of profits, loss of goodwill, or business interruption.
- DAMAGES ARISING FROM AI ERRORS, including incorrect code summaries, inaccurate diff explanations, or misinterpreted merge request analysis.
- DAMAGES ARISING FROM WRITE OPERATIONS performed by the Agent on your behalf, including accidental commits, branch creation, or posted comments that were not intended.
- DAMAGES ARISING FROM UNAUTHORISED ACCESS to your GitLab account resulting from a compromise of credentials not under our direct control.
- DAMAGES ARISING FROM THIRD-PARTY SERVICE OUTAGES, including unavailability of the GitLab API, Coda platform, or LLM providers.
In jurisdictions where the exclusion of implied warranties or limitation of liability for incidental or consequential damages is not permitted, our liability shall be limited to the greatest extent permitted by law. In all cases, our maximum aggregate liability to you for any claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid us (if any) for the Service in the twelve (12) months preceding the event giving rise to the claim, or USD $100, whichever is greater.
11. Indemnification
You agree to defend, indemnify, and hold harmless Sanmark Solutions (Pvt) Ltd. and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or relating to:
- Your use of or inability to use the Service.
- Your violation of these Terms of Service.
- Your violation of any applicable law, regulation, or third-party right.
- Any write operations performed on your GitLab account through the Agent.
- Any content you cause the Agent to process, generate, or submit on your behalf.
12. Termination
We reserve the right to suspend or terminate your access to the Service immediately and without prior notice if we reasonably determine that you have:
- Violated any provision of these Terms of Service or our Acceptable Use Policy.
- Engaged in conduct that is harmful to other users, third parties, or the Service itself.
- Violated any applicable law or regulation in connection with your use of the Service.
You may terminate your use of the Service at any time by revoking the Agent's OAuth authorisation from your GitLab account settings and uninstalling the Pack from your Coda workspace. Upon termination, all OAuth tokens associated with your account will be deleted from our systems within 30 days.
Sections 8 (Intellectual Property), 9 (Disclaimer of Warranties), 10 (Limitation of Liability), 11 (Indemnification), and 13 (Governing Law) shall survive any termination of these Terms.
13. Governing Law & Dispute Resolution
These Terms of Service and any disputes arising under them shall be governed by and construed in accordance with the laws of Sri Lanka, without regard to its conflict-of-law principles. You irrevocably consent to the exclusive jurisdiction of the courts located in Colombo, Sri Lanka for any legal proceedings arising out of or in connection with these Terms.
Before initiating any formal legal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiation for a period of at least 30 days following written notice of the dispute.
14. Changes to These Terms
We reserve the right to modify these Terms of Service at any time. When we make material changes, we will update the "Effective Date" at the top of this page and, where feasible, notify users through the Coda Pack interface or via email.
Your continued use of the Service after the revised Terms become effective constitutes your binding acceptance of the updated Terms. If you disagree with any revised Terms, you must discontinue using the Service and revoke the Agent's GitLab access immediately.
